This website ("Site") is owned and operated by American Medical Technologists (AMT), located at 10700 W. Higgins Road, Suite 150, Rosemont, IL 60018, USA (“AMT” or “we” or “us”).

Please review these Terms of Use (the “Terms”) carefully. By using the Site or by clicking to accept or agree to the Terms where this option is made available to you, you accept and agree to be bound and abide by these Terms and AMT’s Privacy Policy. Your use of AMT’s Site is governed by these Terms and our Privacy Policy (available here, which may be amended from time to time and effective upon posting) (“Privacy Policy”).

These Terms expressly incorporate by reference and include AMT’s Privacy Policy and any guidelines, rules or disclaimers that may be posted and updated on specific webpages or on notices that are sent to you. If you do not agree with these Terms, do not use this Site.

PRIVACY AND USE BY MINORS

  1. Privacy. We will maintain and use your personal information as defined in and according to our Privacy Policy. Your continued access or use of the Site indicates that you agree with our Privacy Policy. The current Privacy Policy is available here (or any successor URL we designate). If there is a conflict between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy controls.
  2. Privacy Requests. To exercise privacy rights under applicable privacy laws (including access, deletion, correction, portability, opt-out of targeted advertising where applicable, and appeals where available), contact us at mail@americanmedtech.org as described in the Privacy Policy. We may take reasonable steps to verify your identity and authority (including for authorized agents) before acting on a request.
  3. Use by Minors. This Site is offered and available to users who are 18 years of age or older. By using this Site, you represent and warrant that you are of legal age to form a binding contract with us and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

CHANGES TO THE TERMS OF USE
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You should check our Site from time to time so you are aware of any changes, as they are binding on you.

ACCESSING THE SITE AND ACCOUNT SECURITY
We reserve the right to withdraw or modify this Site and any material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site.

You are responsible for:

  • Making all arrangements necessary for you to have access to the Site.
  • Ensuring that all persons who access the Site through your Internet connection are aware of these Terms and comply with them.

To access the Site or an account, you may be asked to provide certain registration details or other information. It is a condition of your use of the Site that all the information you provide is correct, current, and complete.

COPYRIGHTS AND LIMITATIONS OF USE
All content in this Site, including site layout, design, images, programs, text and other information (collectively, the “Content”) is the property of AMT and its affiliated companies or licensors and is protected by copyright and other intellectual property laws. The Site, and their entire Content, features, and functionality (including but not limited to all information, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by AMT, our licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You may not, without the approval of AMT, use the Site to publish or distribute any advertising, promotional material, or solicitations to other users of the Site to use any goods or services. For example (but without limitation), you may not use the Site to conduct any business, to solicit the performance of any activity that is prohibited by law, or to solicit other users to become subscribers of other information services.

You agree to not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Site or the services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication or distribution.

You agree to not:

  • Modify copies of any materials from our Site.
  • Use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from this site.

The permissions granted to you herein automatically terminate without notice if you fail to comply with these Terms in your use of this Site. Any unauthorized use of any Content may be a violation of copyright laws, trademark laws, the laws of privacy and publicity, and regulations and statutes. AMT has zero tolerance for infringement of its intellectual property rights and will zealously take action to protect its rights.

No right, title or interest in or to the Site or any Content on the Site is transferred to you, and all rights not expressly granted are reserved by AMT. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

Information you provide or post on this Site. Except for information which AMT expressly agrees to treat confidential, any communication, material, or information that you transmit or post to this Site will be deemed non-confidential. By posting any information or material on this Site, you represent that you own all proprietary rights over such information or material and grant AMT a perpetual, royalty-free license to use, display, reproduce, distribute, modify, and make publicly available such material or information for any commercial or non-commercial use. You represent that you will not post anything on this Site that is libelous, defamatory, unlawful, threatening, obscene, or pornographic. AMT reserves the right to remove, without notice, any unlawful or offensive information posted on this Site.

TRADEMARKS
Our name, logo, and all related product and service names, designs and slogans are trademarks of ours or our affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs and slogans on this Site are the trademarks of their respective owners.

Linking to AMT’s Site: You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part without our express written consent. You agree to cooperate with us in causing any unauthorized framing or linking immediately to cease. We reserve the right to withdraw linking permission without notice.

We may disable any links at any time without notice in our discretion.

PROHIBITED USES
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

Additionally, you agree not to:

  • Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
  • Use any robot, spider, or other automatic device, process or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
  • Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent. • Use any device, software or routine that interferes with the proper working of the Site.
  • Introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

AMT does not control and is not responsible for Third-Party Services or Third-Party Terms, including (without limitation) their content, accuracy, availability, security, data practices, fees, or performance. Any dealings you have with third parties are solely between you and the applicable third party. To the maximum extent permitted by law, AMT disclaims all liability arising from or related to Third-Party Services, and access to Third-Party Services is provided “as is” and “as available.”

INTERNATIONAL USE
The Site is controlled and operated by AMT from within the United States. AMT makes no representations that materials contained within the Site are appropriate or available for use in other locations, and access to the Site from locations where such activity is illegal is prohibited. Those who choose to use the Site from other locations do so of their own initiative and are solely responsible for compliance with all applicable laws.

EXPORT
You agree to comply fully with all U.S. and foreign export laws and regulations to ensure that neither AMT’s services, nor any technical data related thereto, nor any direct product thereof, is exported or re-exported directly or indirectly in violation of, or used for any purposes prohibited by, such laws and regulations. By using the Site, you represent and warrant that: (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN THAT EVENT, ANY IMPLIED WARRANTIES ARE LIMITED IN DURATION TO 60 DAYS FROM THE DATE OF PURCHASE OF PRODUCT OR SERVICES, AS APPLICABLE. HOWEVER, SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. CONTENT MODERATION; COMPLAINTS (EU/EEA USERS)
We may restrict, remove, or disable access to user content or accounts that violate these Terms or applicable law. Our content moderation may involve automated tools and/or human review. Where we take action that affects your content or account, we may (where required) provide a notice explaining the decision and how to challenge it.

Internal complaint handling. If you believe we made an error in restricting your content or account, you can submit a complaint by contacting us at mail@americanmedtech.org with (i) your AMT ID, (ii) the action you’re challenging, and (iii) relevant context. We will review and respond within a reasonable time.

Misuse. We may reject complaints that are manifestly unfounded or abusive.

LIMITATION OF LIABILITY
AMT IS NOT LIABLE FOR ANY DAMAGES SUFFERED AS A RESULT OF YOUR USE OF THIS SITE. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT WILL AMT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF BUSINESS, REVENUE, PROFITS, USE, OR DATA) EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. You acknowledge that we have the right to investigate and prosecute violations of these Terms, including intellectual property, publicity, and privacy rights infringement and website security issues, to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms. You acknowledge that we have no obligation to monitor your access to or use of the Site or services we offer, but we have the right to do so for the purpose of operating the Site, to ensure your compliance with these Terms or to comply with applicable law or the order or requirement of a court, administrative agency, or other governmental or regulatory body.

You understand and agree that we may disclose your personal information if required to do so by law, court order, legal process, or subpoena, including to respond to any government or regulatory request (after, if permitted, giving reasonable notice to you and using commercially reasonable efforts to provide you with the opportunity to seek a protective order or the equivalent (at your expense), or if we believe that such action is necessary to (a) conform to the law, comply with legal process served on us or our affiliates or partners, or investigate, prevent, or take action regarding suspected or actual illegal activities; (b) to enforce these Terms (including for billing and collection purposes), take precautions against liability, to investigate and defend ourselves against any third-party claims or allegations, to assist government enforcement agencies, or to protect the security or integrity of our Site; or, (c) to exercise or protect the rights, property, or the safety of us, our users, or others.

BREACH OF THESE TERMS
If you violate any of these Terms, AMT reserves the right to terminate or suspend, in whole or in part, without notice, your access to this Site. If any court finds that any provision of this agreement is illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect. These terms are not assignable by you, in whole or in part, to any third party and any attempt by you do so shall be void and of no force and effect.

GOVERNING LAW: JURISDICTION
These Terms are governed by the laws of the State of Illinois, USA. You and AMT consent to the exclusive jurisdiction and venue of the courts located in the State of Illinois for any legal action connected in any way to these Terms or use of this Site. You and AMT waive any rights to a jury trial for any claim or cause of action arising out of these Terms or use of this Site. However, if you are a consumer habitually resident in the EEA/UK/Switzerland, nothing in these Terms deprives you of mandatory protections of the laws of your country of residence, and you may bring claims in your local courts as described in the EEA/UK Consumer Addendum.

EEA/UK CONSUMER ADDENDUM
If you are a consumer habitually resident in the European Economic Area (EEA), the United Kingdom, or Switzerland, the following applies to the extent required by applicable law and will override any conflicting provision in these Terms:

  1. Mandatory consumer rights preserved. Nothing in these Terms limits or excludes any consumer rights that cannot be limited or excluded under the laws of your country of residence (including rights relating to non-conforming digital content/digital services, where applicable).
  2. Changes to these Terms. If we make changes that materially affect your rights or obligations, we will provide reasonable advance notice (for example, by posting a notice on the Site and/or emailing account holders where we have an email address). If you do not agree to the updated Terms, you may stop using the Site and, where applicable to a paid or ongoing service, you may cancel/terminate as described in the applicable terms of sale or subscription terms.
  3. Warranties and liability. The disclaimers and limitations of liability in these Terms apply only to the extent permitted by applicable law. In particular, we do not exclude or limit liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
  4. Governing law and courts (EEA/UK consumers). You may bring a claim arising out of or relating to these Terms in the courts of the country where you are habitually resident, and you may also have the benefit of mandatory provisions of the law of that country even if these Terms state a different governing law.
  5. Out-of-court dispute resolution (EEA/UK consumers). You may be entitled to use an out-of-court dispute resolution body in your country.

ENTIRE AGREEMENT
These Terms of Use, our Privacy Policy, and Terms of Sale (if applicable) constitute the sole and entire agreement between you and AMT with respect to the Site. AMT's obligations regarding AMT products and services are governed by the terms of the agreements under which they are sold or licensed.

AMT reserves the right to change these Terms, at any time and without notice, by posting the revised Terms on this Site. You should frequently review these Terms. If you continue to use this Site after changes to these Terms are made, you are indicating your agreement to the changes.
